In these Terms and Conditions:

  • "Services" refers to our NFC authentication platform, devices, and related services
  • "User", "you", "your" refers to any individual or organization using our Services
  • "NFC Device" refers to any Near Field Communication device provided or supported by TangiCred
  • "Account" refers to your registered user account with TangiCred

2. Acceptance of Terms

By accessing or using our Services, you confirm that:

  • You are at least 18 years old or have parental/guardian consent
  • You have the legal authority to enter into these terms
  • You will comply with all applicable laws and regulations
  • You accept these terms in their entirety

3. Service Description

3.1 Personal Portal Service

Our Personal Portal Service provides:

  • NFC-enabled authentication cards for personal use
  • Secure access to connected digital services
  • Optional PIN-based security layers
  • Battery-free, always-ready authentication

3.2 Enterprise Solutions

Our Enterprise Solutions include:

  • Branded NFC authentication systems
  • Custom web experience integration
  • GDPR-compliant customer engagement tools
  • Analytics and audit trail capabilities

4. Account Registration and Responsibilities

4.1 Account Creation

To use our Services, you must:

  • Provide accurate and complete registration information
  • Choose a secure password and keep it confidential
  • Notify us immediately of any unauthorized account access
  • Maintain and update your account information

4.2 Account Security

You are responsible for:

  • All activities that occur under your account
  • Safeguarding your NFC devices and authentication credentials
  • Reporting lost or stolen NFC devices immediately
  • Using strong security practices

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services for legitimate business and personal authentication purposes in accordance with these terms.

5.2 Prohibited Activities

You must not:

  • Use the Services for illegal, fraudulent, or unauthorized purposes
  • Attempt to reverse engineer, hack, or compromise our systems
  • Share, sell, or transfer your NFC devices without authorization
  • Use the Services to violate any third-party rights
  • Interfere with or disrupt the Services or servers
  • Create multiple accounts to circumvent limitations
  • Use automated tools to access the Services without permission

6. Payment Terms

6.1 Subscription Fees

Personal Portal Service:

  • Monthly subscription fee: £6.99 per month
  • Payments are processed monthly in advance
  • Prices include applicable taxes

6.2 Enterprise Pricing

Enterprise solutions are priced based on custom requirements and usage. Contact our sales team for detailed pricing.

6.3 Payment Processing

  • Payments are processed by secure third-party providers
  • All payments must be made in GBP
  • Failed payments may result in service suspension
  • We do not store your payment card details

7. Service Availability and Performance

7.1 Service Levels

We strive to maintain high service availability but cannot guarantee uninterrupted access. Services may be temporarily unavailable due to:

  • Scheduled maintenance
  • Emergency security updates
  • Third-party service outages
  • Force majeure events

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice to users.

8. Data Protection and Privacy

We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these terms.

9.3 Your Content

You retain ownership of any content you provide through our Services, but grant us necessary rights to provide the Services.

10. Limitation of Liability

Please read this section carefully as it limits our liability to you.

10.1 Service Provision

Our Services are provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • Compatibility with all devices or systems
  • Protection against all security threats
  • Achievement of specific business outcomes

10.2 Limitation of Damages

To the maximum extent permitted by law, our liability is limited to:

  • Direct damages only (no consequential or indirect damages)
  • The amount you paid for the Services in the 12 months preceding the claim
  • £1,000 maximum for any single claim

10.3 Exceptions

These limitations do not apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breaches that cannot be excluded by law

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Services in violation of these terms
  • Your violation of applicable laws or regulations
  • Infringement of third-party rights by your use of the Services
  • Unauthorized use of your account by third parties due to your negligence

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Contacting our customer support team
  • Following the account deletion process in your account settings
  • Cancelling your subscription before the next billing cycle

12.2 Termination by Us

We may terminate or suspend your account if:

  • You breach these terms and conditions
  • Your account remains inactive for an extended period
  • We reasonably believe illegal activity has occurred
  • Required by law or regulatory authorities

12.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease immediately
  • We may delete your account data after 30 days
  • Outstanding payments remain due
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.2 Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

13.3 Alternative Dispute Resolution

If you are a consumer, you may use the EU Online Dispute Resolution platform or contact relevant consumer protection bodies.

14. Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other force majeure events.

15. General Provisions

15.1 Entire Agreement

These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and TangiCred.

15.2 Amendments

We may update these terms from time to time. Material changes will be notified to you via email or through our website with at least 30 days' notice.

15.3 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue to apply.

15.4 Assignment

We may assign these terms to any affiliate or in connection with a merger or sale of assets. You may not assign your rights without our written consent.

15.5 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other right.
